Terms and Conditions for Use of the Citycom Website and Application

These terms and conditions constitute the terms and conditions for use of the website and application of Citycom LLC (I/N 405197111) (hereinafter, the "Terms and Conditions"). By accepting them, the effect of these Terms and Conditions will apply to you. If you do not agree to the Terms and Conditions and do not wish them to apply to you, do not press the accept button and do not use our services placed on the website and application.

Article 1. Definition of Terms

Unless otherwise directly follows from the text itself, the terms used in these Terms and Conditions have the following meanings: Citycom or Company: Citycom LLC (a company established under the legislation of Georgia, I/N 405197111). Website: Citycom's website, www.citycom.ge. Application: Citycom's application for mobile devices. Platform: The website and/or application of Citycom LLC. Main Account: A virtual space within the platform linked to the real estate (apartment/premises) at a given address. Individual Account: An account created in the Citycom system in relation to a person registered in the Citycom system, which operates within a Main Account. Within a single Main Account, two types of Individual Account may be created: 1) an Individual Account created for the first registered person; 2) an Individual Account created for another, additional person. More than one Individual Account of different types may also be created. Each Individual Account has its own eight-digit code. Neighborhood (Sameznoblo): A homeowners' association existing under the legislation of Georgia in a multi-apartment residential building or buildings, or an association formed for the collection of expenses for the upkeep of common spaces of the building(s), which Citycom services on the basis of a service or assignment agreement. Main Agreement: A service or assignment agreement between Citycom and the Neighborhood, or between Citycom and a legal entity, on the basis of which Citycom provides services at the address. Authorized Person: A person designated by the Neighborhood with authority to manage the Neighborhood's funds and to represent the Neighborhood before Citycom. Address: The address at which the multi-apartment residential building/buildings serviced by Citycom are located. Terms and Conditions: These Terms and Conditions, as well as any annexes and constituent parts thereof (including but not limited to the cookie (ready records) policy), which regulate the conditions for the use of the website.

Article 2. Main and Individual Accounts

Main Account The Main Account can be used to pay membership fees or other charges owed to the Neighborhood. It also reflects information about outstanding debts to the Neighborhood and overdue payments. Information about the Neighborhood's balance, transactions performed by the Neighborhood, and overdue charges is also available in the Main Account. Funds may be deposited to the Main Account balance by the holder of any type of Individual Account. Individual Account Through the Individual Account, the account holder has access to the amounts accumulated on the Neighborhood's balance, transactions performed by the Neighborhood, and overdue charges. For the avoidance of doubt, deposits are not made to the Individual Account. Within a single Main Account, two types of Individual Account may be created: 1) an Individual Account created for the first registered person; 2) an Individual Account created for another, additional person. 1) Individual Account created for the first registered person — automatically created for the person who first registers within the Main Account of the real estate, with the in-app status set to "Owner." Replacement of the holder of this type of Individual Account, or transfer to another person, is carried out by Citycom on the basis of an instruction from the owner of the real estate. 2) Individual Account created for another, additional person — created within the Main Account by the holder of an Individual Account with "Owner" status, by inviting other persons and assigning the relevant status (family member, tenant, etc.). A holder of any type of Individual Account may obtain information about the Neighborhood only after completing registration on the platform, for which the person must enter the relevant information in the registration field. The requested information may include: name/surname, e-mail address, telephone number, and other personal data that may be required, now or in the future, to fully provide the platform's services to the account holder. Acceptance of these Terms and Conditions is required to complete registration for any type of Individual Account. Protection of the account is ensured by the account holder by setting a password required to log in. The Citycom platform system stores the password in hashed/encrypted form, so the password is not known or accessible to Citycom. Note that Citycom is not responsible for the consequences of the account holder sharing their password with a third party. After logging in, the holder of any type of Individual Account can see: • The personal information they provided at registration, including: name/surname, telephone number, e-mail, address(es) of their apartment(s), floor and number, photograph; • Their current balance with Citycom; • Only the transactions they have most recently performed (description, date, amount, status); • Current debt (if any); • The name of the Neighborhood(s); • The status, name, surname, telephone number, e-mail and other information provided by the Authorized Person of the Neighborhood; • The total balance of the Neighborhood; • Information about active and inactive members of the Neighborhood; • Amounts accumulated by the Neighborhood, broken down by month; • Statistics showing amounts collected and spent by the Neighborhood; • The monthly payable membership fee (based on the Neighborhood's package), the payment date and the Main Account status (active/inactive); • The services used by the Neighborhood; • Information about persons who provide various types of services in multi-apartment residential buildings, and their contact information; • Information about the holder(s) of any type of Individual Account created within the Main Account; • All accounts registered on the platform under the Individual Account holder's name. Upon logging in, an Individual Account holder with "Owner" status can additionally see, in addition to the transactions they have most recently performed, all transactions performed by every Individual Account holder created within the Main Account. Through the platform, the holder of any type of Individual Account may: • Receive information about changes in Citycom's services and in the conditions of the Main Agreement; • Register a mobile phone number for the purpose of remotely opening the entrance door; • Replace or delete their Individual Account; • Generate and/or change a temporary four-digit or a permanent eight-digit Neighborhood access code. Generation or change of the access code by one Individual Account holder automatically changes the access code for the other Individual Account holders within the Main Account; • Add one or more bank cards through which the Individual Account holder can deposit funds to the Main Account balance. Through the platform, an Individual Account holder with "Owner" status may additionally: • Create/add Individual Account(s) within the Main Account and assign their status (other than "Owner"); • Invite an additional person, create an Individual Account for them, and assign a status; • Delete/replace an Individual Account created within the Main Account and edit its status (other than for an "Owner" status account). Any account holder is obliged to provide correct information when registering on the platform. Citycom is entitled, but not obliged, to verify the accuracy of the information provided by the account holder, and disclaims responsibility for the consequences of any incorrect information provided. If incorrect information is provided, Citycom is entitled to temporarily restrict the account holder's access to their account. Any account holder may add and manage more than one real estate account belonging to them. Information is reflected for each account separately, and switching between accounts is done via the application.

Article 3. Information About Financial Matters

Please note that amounts payable through the Main Account, other than Citycom's fees, are amounts set by the Authorized Person of the Neighborhood. Citycom does not participate in setting these amounts and acts only as a conduit for the information, and is not entitled to consider claims regarding the amount. Citycom's fees are set out in the Main Agreement between Citycom and the Neighborhood. Please note that holding an Individual Account is subject to a fee, the amount of which is set out in the Main Agreement between Citycom and the Neighborhood. Information about the Individual Account fee is available through the Main Account on the Citycom platform. Please note that due to technical matters and the time required for the platform to reflect payments made through various intermediaries, the information on the platform regarding the Citycom balance does not constitute final, confirmed information from Citycom. To obtain accurate information about the Citycom balance and the account holder's transactions, the account holder should contact Citycom's administration by e-mail.

Article 4. Additional Service

Through the platform, it is possible to activate the functionality for remotely opening the entrance door via a phone number. Activation of this service is subject to a fee, the amount of which is set out in the agreement between Citycom and the Neighborhood. To activate the service, you must complete the relevant request and pay the corresponding service fee. Please note that additional conditions for opening the entrance door may apply at a given address, as set out in the agreement between Citycom and the Neighborhood. If a phone number was registered in error, a refund is issued by sending a message to the company's official e-mail. The message must state the address, the amount to be refunded, the payer's name and surname, proof of payment, bank details and a contact telephone number. The refund is made to the indicated bank details, if the request is accepted, within 2 working days from the e-mail request.

Article 5. Limitation / Exclusion of Liability

Citycom's liability is excluded: • If the account holder transfers to third person(s), or otherwise makes available to a third person/persons, the data required to log in to their account on the platform (the account holder's username and password). In such cases, Citycom shall not be liable for any actions taken by third parties; • For transactions performed by the Neighborhood (the account holder acknowledges that transactions from the Neighborhood's total balance are made only on the basis of an instruction from the Authorized Person of the Neighborhood); • For transactions performed in error by the account holder (deposits to their personal balance). The account holder acknowledges that Citycom cannot cancel transactions made in error; • For any damage or loss caused by a defect/error independent of Citycom, cancellation/suspension of a transaction by the account holder, a computer virus or system malfunction, and the resulting consequences; • If access to the website and/or application is impossible due to technical issues or any other reason outside Citycom's control; • For consequences arising from opening advertisements or other content placed on the website or application by third parties. Citycom ensures the account holder's access to the platform and the provision of services in accordance with these Terms and Conditions. Citycom makes no other warranty or promise and assumes no obligation that is not specified in the Terms and Conditions. Citycom is not responsible and does not warrant that the website and/or application will at all times, without any disruption, be available and operate without any delays or software errors or defects. The availability of content presented on the website may depend on the features and limitations of the search system. Citycom assumes no responsibility for cases in which certain components of the website or application are not available to the account holder. Likewise, malfunction of any software module (telephone, computer or otherwise) used to access the platform is solely at the account holder's risk.

Article 6. General Rules for Use of the Website and Application

The information indicated on the website and in the application is intended only for the account holder's personal use. The account holder acknowledges that information available to them on the platform, including information about the Neighborhood's balance and the terms of agreements concluded by the Neighborhood, constitutes confidential information. The account holder therefore agrees to protect the confidentiality of such information. Citycom may, at its own discretion, place information on the platform about persons providing services to multi-apartment residential buildings. This is not a recommendation of those persons' services, and Citycom is not responsible for their actions or the quality of services provided. The account holder is entitled to notify Citycom of any technical issue regarding the platform. The account holder is prohibited from taking any action to understand the source code of Citycom or the application, or from decompiling it, except as permitted by law. When using the platform, it is strictly prohibited to post or send defamatory texts, use hate speech, or post, distribute or send information that infringes the rights, reputation or dignity of any person, including Citycom or any third party, or to engage in any other conduct prohibited by law. If the Company has a reasonable suspicion that, in using the platform or performing a transaction, the conditions of the Main Agreement are being breached, or that transactions are illegal, fraudulent or unauthorized, Citycom is entitled to halt such a transaction and temporarily block the account of any person engaging in such activity until the Company has investigated the specific facts. In such cases, the Company is also entitled to refer the matter to the relevant financial institutions or other state authorities and provide them with information. The account holder is entitled to contact Citycom and request temporary blocking of their account if they have reasonable suspicion that their account credentials have become available to a third party without their consent.

Article 7. Personal Data

The account holder acknowledges that one of the key features of Citycom's service is that funds accumulate on the Neighborhood's total balance transparently, and that members of the Neighborhood have information about which apartments in the multi-apartment building are contributing to the upkeep of common spaces. For this reason, it is necessary that the account holder's name, surname, floor and apartment number be available to other members of the Neighborhood. Accordingly, the account holder acknowledges that, for the purpose of performing the agreement, information about their name, surname, apartment number and floor will be available by default to other members of the Neighborhood, which constitutes the necessary and proportionate information for the purpose of maintaining common property. The account holder may, at their discretion, choose in the platform's settings to additionally make their mobile phone number and e-mail visible to other members of the Neighborhood. Disclosure of these data to the Neighborhood is carried out only with the account holder's consent. The account holder may, at any time, withdraw such consent by turning off the relevant setting and restrict access by other persons to these data. By default, the platform does not require or process the account holder's photograph. If the account holder voluntarily uploads a photograph to the system, they acknowledge that the visual data will also be available to other members of the Neighborhood. The account holder may, at any time and without any obstacle, delete the uploaded photograph from the system's settings, which automatically restricts access by other members of the Neighborhood to that data. Citycom undertakes to protect the personal data provided by the account holder on the platform, to process them in accordance with the legislation of Georgia, and to use them for the functioning and development of the platform and for other purposes permitted by law. Personal data is any information relating to an identified or identifiable natural person, including but not limited to: name and surname, telephone number, address, and so on. For the purposes of providing proper service, Citycom is entitled to collect the following types of data: bank details; the IP address of the device used to access the platform (hereinafter, the "Device"); the brand, category and model of the Device; operating system type and version; browser types and versions; the operating system used by the access system; the date and time of access; the type of mobile device used to access the application and/or that mobile device's unique ID, brand and model; mobile device identifiers, other diagnostic data, etc. Citycom undertakes to process the account holder's personal data only in accordance with the legislation of Georgia.

Article 8. Intellectual Property

The account holder is not entitled to distribute, transfer to others, make a copy or reproduce, for commercial purposes or for any purpose other than personal use, the structure, image or design of the website/application without Citycom's prior written consent. Granting such consent is at Citycom's sole discretion.

Article 9. Governing Law and Dispute Resolution

The Terms and Conditions are interpreted and governed in accordance with the legislation of Georgia. Any disagreement between the parties arising out of the Terms and Conditions shall be resolved by negotiation. If no agreement is reached, the dispute shall be referred to the competent court of Georgia.

Article 10. Changes

Citycom reserves the right to unilaterally make changes to the Terms and Conditions and to the conditions of services provided through the platform. Changes will be automatically posted on the Company's website and application. Information about changes will be available to the account holder via a special notice on the platform. The account holder is obliged to review such notice. The notice will be sent at least 2 weeks before the changes take effect.

Article 11. Transitional Provisions

By accepting the Terms and Conditions, the account holder confirms that the Terms and Conditions are drafted in a language they understand and that they fully understand the content of the rules set out therein. The Company reserves the right to unilaterally suspend or terminate a person's registration or authorization on the website if it considers that they act incorrectly or in violation of these Terms and Conditions or of the legislation of Georgia. The invalidity of separate parts of the Terms and Conditions does not cause the invalidity of the document as a whole or of its other parts. Matters not regulated by the Terms and Conditions or the Main Agreement are regulated in accordance with the legislation of Georgia. In the event of a change in the information provided by the account holder, including but not limited to telephone number and address, the party is obliged to notify the Company immediately. If this obligation is breached, the Company shall not be liable if its failure to perform services is connected to the account holder's breach of this obligation.

Cookies are text files containing a certain amount of information that are downloaded to your device (such as a computer, smartphone, etc.) when you visit a website. Cookies can be recognized by the website that downloaded them, or by other websites that use the same cookies. This helps the website determine how often it has been opened/used by that device. What types of cookies (ready records) do we use? The Company uses the following types of cookies: • _gat_gtag_UA_****** — analytical cookie required for Google Analytics, used to study the account holder's behavior on the site (duration: 1 day); • _gid — analytical cookie required for Google Analytics, used to identify the visitor (duration: 1 day); • auth._token.facebook, auth._token.google, auth.strategy — cookies required for authorization via social networks (Google, Facebook) (duration: until the end of the session); • social_redirect_url — functional cookie used to return to the page from which the authorization process was started in case of social authorization (duration: 1 day). Third-party cookies (ready records): • SIDCC — to protect the account holder's data against unauthorized access (duration: 3 months); • SAPISID, APISID, HSID, SID (duration: 2 years); • SSID (duration: 1 month); • NID (duration: 2 months); • SEARCH_SAMESITE (duration: 6 months); • 1P_JAR (duration: 1 month). We use cookies for specific, predefined and legitimate purposes, in order to ensure the proper operation of the platform and to improve the account holder's experience.
